Please, read our Terms of Service (“Terms”) carefully before using CGHero services and this website.

  1. Your acceptance of these terms

    This document (the “Terms”) governs the relationship between CG Hero Ltd (“CGHero”, “us”, “we” or “our”) and you regarding your access and use of the online service platform for the procurement of talent management, project management and other services currently located at https://cghero.com/ ( referred as the “Platform”). The tools, features and functionalities of the Platform are referred to together as the “Platform Services”. If you are accessing or using the Platform or the Platform Services, then you are a “User”. Our registered office is at The Sharp Project, Thorp Road, Manchester, England, M40 5BJ and our registered company number is 10283663. The Terms form a legally binding agreement between you and us. Please take time to read them carefully.

    1. Agreement. By accessing and using the Platform, you agree to these Terms.
    2. Entity Use. If you are employed or engaged by an entity (such as a company or partnership) to use the Platform and/or the Platform Services, these Terms also apply to that entity (your “Business”). For these Terms, "you" refers to you as the User of the Platform and/or the Platform Services, as well as your Business.
    3. Privacy. We collect and process personal data when you use the Platform and the Platform Services. Please see our Privacy & Cookie Policy for more information on how we process your personal data and use cookies.
    4. Contact. If you have any questions about these Terms, please contact us using the details provided at the end of these Terms.

  2. Our right to update these terms

    1. Right to Amend. We reserve the right to amend these Terms at any time for any reason, such as to reflect changes to the Platform, Platform Services, technology, licensing, payments, best practices, relevant laws, or regulatory requirements. If we make changes we will provide you with reasonable prior notice.
    2. Acceptance of Changes. By continuing to use the Platform after the changes are made, you will be deemed to have agreed to them. If you do not agree to the changes, please stop using the Platform.
    3. Versioning. This version of the Terms is effective as of the date specified at the top of this page. Previous versions can be requested by emailing hello@cghero.com.

  3. Registering your account

    1. Eligibility. To access certain parts of the Platform, you must register for an account (an “Account”) by providing personal information, a username, and a password of your choice ("Registration Data"). The Platform Services are only available to individuals who are 18 years or older.
    2. Business Use. Users must use the Platform Services for business purposes only and not for personal or consumer use.
    3. Accurate Information. Registration Data and any other information or data (including personal data) that you provide to us (together “User Data") must be true, accurate, and kept up to date.
    4. Security. You are responsible for your use of the Platform and keeping your Registration Data secure. If you fail to do so, you are responsible for any unauthorised use of the Platform using your Registration Data. Inform us immediately of any unauthorised use and change your password.
    5. Names and Images. Account and profile names and images must not be obscene or offensive, infringe third-party rights, mislead others about your identity, or be considered inappropriate (at our sole discretion). We may change any element of your Account name, username, or profile image and notify you via email.

  4. Using the Platform

    1. Definitions.
      1. Client: A user who posts a project or task to source services from one or more Heroes.
      2. Hero: A user who provides services by submitting Quotes on tasks posted by Clients.
      3. Task: A defined piece of work created by a Client within the Platform, describing the services required.
      4. Quote: A commercial offer submitted by a Hero in response to a Task, including the total price which incorporates CGHero’s service fees.
    2. Project and Task Creation.
      1. Clients may create Projects and associated Tasks through the Platform, specifying the scope, requirements, and timelines.
      2. Clients may invite Heroes directly to participate in a Task or may allow Heroes to discover and respond to Tasks posted.
    3. Quoting Process.
      1. Heroes may submit Quotes on Tasks, setting out pricing and any relevant terms for delivery.
      2. All Quotes displayed to Clients include CGHero’s service fees.
    4. Formation of Engagement.
      1. An Engagement between a Client and a Hero begins when the Client accepts a Quote through the Platform.
      2. Upon acceptance, the Task is deemed to have commenced, and both Client and Hero are bound by these Terms, including all provisions regarding payment, refunds, disputes, and non-circumvention.
    5. Client Interaction with Heroes.
      1. Clients may communicate with Heroes through the Platform’s messaging tools. All communications are subject to the non-circumvention provisions of these Terms.
      2. Clients may invite their own Heroes to join the Platform, maintain contact books of Heroes, create collections of work from Heroes, and use the Platform’s search functionality to identify and engage with Heroes.
    6. Platform Role.
      1. CGHero acts as an intermediary providing the Platform and facilitating payments between Clients and Heroes.
      2. CGHero is not a party to the Engagement between Client and Hero, and shall not be responsible for the performance of services, save as expressly set out in these Terms.
    7. Lawful Use and User Conduct.
      1. You must use the Platform and Services only for lawful purposes and in compliance with applicable laws and regulations.
      2. You must not:
        1. impersonate another person or misrepresent your identity;
        2. use false information or mask your identity (including false email addresses);
        3. harass, intimidate, or abuse other users;
        4. upload or distribute viruses, malware, spyware, or other harmful code;
        5. attempt to gain unauthorised access to the Platform, servers, or systems; or
        6. copy, decompile, reverse engineer, or otherwise attempt to derive the source code of the Platform or its software.
      3. You must not use bots, scrapers, crawlers, or other automated tools to extract data or interact with the Platform, except as permitted in writing by CGHero (standard search engine technologies are allowed).
      4. You must not use the Platform in any way that brings CGHero, the Platform, or its community into disrepute or harms its reputation or goodwill, or modify/alter the Platform to falsely imply an association with CGHero.
    8. Shared Environment.
      1. The Platform is a shared environment used by multiple Clients and Heroes. Excessive or inappropriate use by one user may negatively affect others.
      2. CGHero may restrict or suspend access if your use is deemed excessive or inappropriate.
    9. Compliance with Rules.
      1. You must comply with all guidance, notices, and policies provided by CGHero relating to the use of the Platform and Services.
      2. Breach of this section may result in suspension or termination of your account.

  5. Plans and cancellations

    1. Plan Types. CGHero may offer the Platform Services on a subscription or other specified basis (a “Plan”). Plans may require payment of fees (“Fees”). You will be informed about Fees before signing up.
    2. Inclusions and Limits. Details of what the Plan includes and limits of usage will be available to you before signing up.
    3. Fee Changes. If you are on a Paid Plan, you will receive written notice at least 30 days before any changes to our Fees. If you do not agree, you can cancel before the change takes effect.
    4. Renewal and Cancellation. Unless specified otherwise in your Plan, your Plan will continue on a rolling basis until terminated by us or cancelled by you in accordance with the Plan terms.

  6. Fees

    1. Payment Method. When registering for an Account, you may be required to provide a valid payment method (“Payment Method”). We will charge Fees to your Payment Method in accordance with your Plan.
    2. Failed Charges. If we are unable to charge your Payment Method and you do not cancel your Plan, we may restrict access and continue to attempt to charge you until a valid Payment Method is charged.
    3. Updating Details. You can update your Payment Methods in Payment Settings. By updating, you confirm you are authorised to use it and that we are authorised to charge it.

  7. Termination or suspension

    1. Immediate Suspension. We may, at our sole discretion and without liability to you, immediately terminate or suspend your Account, or block your use of the Platform, if we reasonably consider that:
      1. you have violated these Terms; or
      2. you have violated any of our policies.
    2. No Refund on Termination. If we terminate your Account on these grounds, you are not entitled to refunds.
    3. Effect of Suspension. If your Account is suspended, you will not be able to use the Platform during any suspension.
    4. Platform Discontinuation. We may also terminate or suspend your Account:
      1. if we decide to no longer provide the Platform for technical, financial or legitimate business reasons; or
      2. for any reason on 30 days’ notice to you.
    5. Regional Availability. We may cease to make the Platform available in any territory or region at any time without notice.

  8. General User Terms

    1. Scope. Depending on your Plan:
      1. you may procure or provide services with other Users through the Platform, creating a “Relationship”; and
      2. CGHero may assist with aspects of your Relationships.
    2. User Contract. Engagement with another User creates a separate contract between you and that User, provided it does not conflict with these Terms (“User Contract”).
    3. No CGHero Employment. CGHero is not a party to any User Contract. No User Contract creates an employment or service relationship with CGHero.
    4. IP Between Users. The User Contract governs Users’ respective rights and obligations relating to creation, use and allocation of ownership of any intellectual property rights resulting from User services.
    5. CGHero Not Liable. CGHero is not responsible or liable for your Relationships, services procured or provided, results produced, IP allocation between Users, or any User acts or omissions.
    6. Due Diligence. You are solely responsible for assessing the adequacy, reliability, safety, accuracy, completeness and legal compliance of any Users you engage with. Perform your own due diligence as you see fit.
    7. Plan Compliance. Engage Users only in accordance with your Plan.

  9. Non-circumvention

    1. On-Platform Payments. Depending on your Plan:
      1. For each Relationship, you agree to communicate and make/receive payments exclusively through the Platform for two years from the start of that Relationship (the “Non-Circumvention Period”), unless you pay a Conversion Fee calculated as 13.5% of estimated annual earnings (hourly rate × 2,080 hours) of the freelancer or studio you engage.
    2. No Underbilling or Referral. During the Non-Circumvention Period, you agree not to:
      1. invoice for or pay less than the actual agreed amount; or
      2. refer a User identified on the Platform to a non-User to make or receive payments outside the Platform.
    3. Report Off-Platform Contact. If someone suggests off-platform payments or you receive unsolicited contact outside the Platform, notify us immediately.
    4. Breach Consequences. Breaching this clause is a material breach and may result in permanent suspension and charging of the Conversion Fee. In no event shall the Conversion Fee be less than $1,000 per breached Relationship.
    5. Conversion Fee Definition. “Conversion Fee” means the greater of:
      1. the fees CGHero would have collected absent the breach; or
        1. if you provide services, 25% of estimated earnings over a 24-month period (hourly rate × 40 × 52); or
        2. if you procure services, $500 per working day over a 24-month period.

  10. Payments through the Platform

    1. User Payments. Depending on your Plan:
      1. you may make or receive payments with another User through the Platform (“User Payments”); and
      2. CGHero may hold funds on your or another User’s behalf.
    2. Currency. The default currency on the Platform is US Dollars and all User Payments shall be paid in US Dollars.
    3. Payment Management. You authorise CGHero to manage User Payments and funds held, including via third-party escrow or similar.

  11. Disputes and Resolution

    1. Custom Work Acknowledgment. By accepting a Quote, the Client acknowledges that the work being produced by the Hero is custom and cannot be monetised by the Hero outside of the agreed Task payment.
    2. Unresponsive Client. If the Hero has delivered the agreed work and the Client is unresponsive for 14 consecutive days, CGHero may release payment to the Hero. After this period, the Client forfeits any right to dispute the work. The Hero may, at their discretion, provide amendments after this time, but this does not revive dispute rights.
    3. Unresponsive Hero. If a Hero becomes unresponsive for 7 consecutive days without prior notice, and work has not been delivered or agreed feedback remains unresolved, the Client is entitled to a refund of the total amount minus either CGHero’s engagement fees or 20% of the total, whichever is greater.
    4. Dispute Window. A Dispute may be filed only:
      1. within 7 days after work is delivered; or
      2. if work is not delivered, within 14 days after the Task has been assigned.
      The Client should first attempt to resolve the issue directly with the Hero, but this does not extend the Dispute filing window.
    5. Fees During Dispute. During resolution, CGHero will retain its full engagement fees or 20% of the Task amount, whichever is greater, regardless of outcome. CGHero reserves sole discretion on allocation of remaining funds.
    6. Off-Platform Communication. CGHero may refuse to enter arbitration if Client and Hero communication did not occur on the Platform. In such cases, CGHero retains its engagement fees and the parties must resolve the matter directly.
    7. Non-Qualifying Disputes. CGHero will not accept Disputes where the Client decides they no longer require the work, assigns the work to another Hero (on or off Platform), or undertakes the work themselves unless mutually agreed with the Hero.
    8. Timely Feedback. Clients must provide Heroes timely feedback and opportunity to rectify issues. Failure to do so results in full payment being released to the Hero.
    9. Dormant Accounts. If both Client and Hero accounts remain inactive for 30 consecutive days on a Task, CGHero is entitled to recover its fees from held funds.
    10. Liability Disclaimer. To the maximum extent permitted by law, CGHero shall not be liable for any damages, losses, or indirect costs arising from any Dispute or its resolution process.

  12. Refunds and Acceptance of Deliverables

    1. Acceptance Standard. Deliverables shall be deemed accepted if they materially conform to the task specification agreed when the Client accepted the Hero’s Quote, regardless of subjective preferences or aesthetic judgments of the Client.
    2. Refund Eligibility. Refunds or credits will only be considered where the Services delivered under a Task materially fail to conform to the agreed task specification.
    3. Remedies. If such non-conformance is demonstrated, CGHero may, at its discretion:
      1. require the Hero to re-perform the Services for that Task; or
      2. provide a refund limited to the amount paid for that Task. In no circumstances will refunds exceed the amount paid by the Client for the Task in question.
    4. Non-Refundable Commencement. Payments made in respect of a Task are non-refundable once commencement of work under that Task has been agreed (i.e., when the Client accepts a Quote). Once work has commenced, any payments already made for that Task become non-refundable except as expressly provided above.
    5. No-Refund Scenarios. Refunds will not be granted where the Client fails to provide timely feedback or approvals; decides they no longer require the work; undertakes the work themselves or assigns it to another provider; or uses the Deliverables in any way after requesting or receiving a refund.
    6. Licence Revocation. Where a refund is issued, the Client’s licence to use the Deliverables under that Task is automatically revoked. The Client must not use, reproduce, or exploit the refunded work in any form. Any use of refunded or unauthorised work shall constitute a material breach of these Terms and may result in liability for damages and permanent suspension of the Client’s account.

  13. Your content on the Platform

    1. Scope of Content. The Platform allows you to upload User Data, files, design briefs, data sets, images, documents, or similar materials, and to send messages to other Users (“Your Content”).
    2. Assumption of Risk. You use the Platform and any content within it at your own risk.
    3. Prohibited Content. Your Content must not:
      1. be or cause use of the Platform in breach of these Terms;
      2. contain material that is threatening, defamatory, obscene, indecent, offensive, pornographic, abusive, discriminatory, menacing, scandalous, inflammatory, blasphemous, or in breach of confidence;
      3. be illegal or infringe any rights of any third party; or
      4. be technically harmful (e.g., viruses, Trojan horses, worms, corrupted data).
    4. Content Responsibility. We are not responsible for the content or accuracy of Your Content posted by you or any other User.
    5. Monitoring. We may monitor and review content, but are not obliged to do so. Views expressed by other Users do not represent our views or values.
    6. Portfolio Representations. Your Content may include details about services you can offer and previous work (“Portfolio”). If so, you confirm that work is either completed by you alone; or completed with third parties provided you specify your contribution and have permission to present the work publicly without restriction.
    7. Content Retention. We cannot guarantee that Your Content will remain on the Platform indefinitely. We may remove it if it violates these Terms or for business or operational reasons. Keep backups of content you submit.
    8. Infringing Content Notice. Notify us at hello@cghero.com if any of Your Content becomes infringing and provide information to help us identify and remove it.

  14. Availability of the Platform

    1. No Guarantee of Uninterrupted Service. CGHero will take reasonable steps to ensure the Platform is available, but we do not guarantee that access will be uninterrupted, error-free, or free of defects. Defects may be corrected at our discretion.
    2. Viruses and Security. We do not warrant that the Platform, servers, or emails sent by us are free of viruses, malware, or other harmful components. You are responsible for maintaining up-to-date security protections on your own systems.
    3. Compatibility. The Platform has not been developed to meet individual requirements. We cannot promise it will be fit for your specific purposes or compatible with all hardware, software, or configurations you may use.
    4. Service Changes. CGHero reserves the right to alter, suspend, or discontinue any part of the Platform at any time for technical, financial, or business reasons. Unless otherwise stated, these Terms will continue to apply to any modified or updated version of the Platform.
    5. Limitation. To the extent permitted by law, all warranties, conditions, or guarantees not expressly set out in these Terms are excluded.

  15. Deleting Your Account

    1. Requesting Deletion. You may request deletion of your Account at any time by contacting CGHero Support by email at support@cghero.com. Once a request is received, we will begin processing the deletion.
    2. Removal of Content. Your Content will be permanently deleted within 30 days of confirmation of your request, subject to retention of limited metadata for audit, compliance, or accounting purposes.
    3. Irreversibility. Once your Account and associated Content are deleted, they cannot be recovered. We recommend you keep copies of any important Content before requesting deletion.
    4. Effect of Termination. Deleting your Account will immediately terminate your agreement with CGHero and end your access to the Platform and Services. Any outstanding obligations, including payments or liabilities incurred prior to deletion, will continue to apply.
    5. Exceptions. CGHero may retain information where necessary to comply with legal obligations, resolve disputes, enforce our agreements, or protect CGHero’s legal rights.

  16. Intellectual property rights

    1. Ownership. CGHero (or its licensors) owns all IP rights in the Platform, Platform Services, and related materials and know-how (“CGHero IP”).
    2. Access Controls. We may provide privacy and security features to control access to Your Content; you are responsible for applying those settings.
    3. Licence to CGHero. By uploading Your Content, you grant us a worldwide, irrevocable, non-exclusive, transferable, royalty-free licence (unlimited in time) to:
      1. use, host and store Your Content (except personal data) to operate and provide the Platform and Platform Services;
      2. display and make available Your Content (except personal data) to Users via the Platform;
      3. copy, modify, translate and create derivative works of Your Content (except personal data) for Platform promotion; and
      4. use Your Content as required by law.
    4. Usage Data. CGHero may collect and use data about Platform usage and Your Content. You grant CGHero a perpetual, worldwide, royalty-free licence to use non-personal-data elements of Your Content to provide and improve the Platform and services.
    5. Reservation of Rights. Except as set out here, no rights in CGHero IP are granted. All rights not expressly granted are reserved.
    6. User Licence. Subject to your compliance, CGHero grants a revocable, limited licence to access and use CGHero IP solely to receive the Platform Services.

  17. Confidentiality

    1. Use and Protection. You may access non-public information designated as confidential or reasonably considered confidential ("Confidential Information"). Do not use or disclose it except as necessary to receive the Platform Services. Protect it with at least reasonable care.
    2. Exclusions. These obligations do not extend to information that is public other than through breach; was developed independently without using Confidential Information; was disclosed lawfully by a third party; or must be disclosed by law.

  18. Indemnity

    1. Indemnification. You will indemnify us (and our officers, directors, agents, subsidiaries, joint venturers and employees) against any claim or demand, including legal fees and costs, made against us by any third party due to or arising out of your breach of these Terms, or your infringement of any law or the rights of a third party when using the Platform and/or Platform Services.
    2. Set-Off. We may apply any funds in your Account against liabilities you owe to us or losses we suffer due to your breach.

  19. Limitations of liability

    1. Exclusion of Implied Terms. All warranties, representations, conditions and other terms implied by statute or common law are excluded to the fullest extent permitted by law.
    2. Liability Cap. Subject to this section and any refunds owed under these Terms, our total aggregate liability in connection with your use of the Platform or these Terms is limited to the greater of:
      1. Fees paid by you in the 12 months immediately preceding the month during which the liability arose; or
      2. £100.
    3. Non-Liable Losses. CGHero is not responsible for losses where the loss is unexpected, caused by events outside our control, not caused by our breach or negligence, caused by your breach, avoidable by reasonable action, or relates to use for trade, business, craft or profession.

  20. Other important terms that apply to our contract

    1. Assignment. We can transfer our contract with you to another organisation. We will let you know if we plan to do this. You can only transfer your contract with us if we agree.
    2. Force Majeure. We're not responsible for delays outside our control. We will try to contact you as soon as possible and use reasonable endeavours to reduce any delay.
    3. No Waiver. Even if we delay in enforcing this contract, we can still enforce it later.
    4. Severability. If a court invalidates some of this contract, the rest will still apply.
    5. Third-Party Rights. Nobody else has any rights under this contract.
    6. Governing Law and Jurisdiction. These Terms are governed by English law. Any disputes or claims will be exclusively settled by the courts of England and Wales.

  21. Notice

    Notices from you to us must be sent to hello@cghero.com. We will notify you through the Platform or using the contact information you provided during registration. Notice is considered received immediately upon posting on the Platform, 24 hours after sending an e-mail, or three days after mailing a letter.

  22. Raising concerns

    If you have any questions, comments, or complaints about the Platform or any of our Platform Services, please contact our Support Team at hello@cghero.com. If we are unable to resolve your complaint informally, we can engage in an impartial out-of-court dispute resolution procedure.

  23. API Terms

    Customers may access their Service data via the Application Program Interface (“API”). Any use of the API, including use of the API through a third-party product that accesses the Service, is bound by these Terms plus the following specific terms:

    1. Disclaimer. You expressly understand and agree that the Company shall not be liable for any damages or losses resulting from your use of the API or third-party products that access data via the API.
    2. Rate Limits. Abuse or excessively frequent requests to the Service via the API may result in temporary or permanent suspension of your account’s access to the API. The Company, in its sole discretion, will determine abuse or excessive usage of the API and will make a reasonable attempt via email to warn the account owner prior to suspension.
